Effective Date: July 31, 2026
This End User License Agreement ("Agreement") is entered into between Repass Intelligence ("Repass Intelligence," "we," "us," or "our") and the individual or entity using our software, including any application that connects to Intuit QuickBooks or other Intuit products ("Application"), together with any related services (collectively, the "Services"). By installing, accessing, or using the Services, you agree to be bound by this Agreement. If you do not agree, do not use the Services.
Subject to your compliance with this Agreement, Repass Intelligence grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during the term of your agreement with Repass Intelligence.
The Application may connect to your Intuit QuickBooks account through Intuit's official APIs. This connection is read-only: the Application retrieves data from QuickBooks and does not create, modify, or delete records in your QuickBooks company file. Data retrieved through this connection is synchronized into Repass Intelligence's internal knowledge platform (built on LightRAG) solely to support search, question-answering, and analysis features within the Services.
You may not: (a) reverse engineer, decompile, or disassemble the Services except as permitted by law; (b) use the Services to build a competing product; (c) sublicense, resell, or distribute the Services without our written consent; (d) use the Services in violation of Intuit's Terms of Service or Developer Agreement; or (e) attempt to access data belonging to another customer or tenant.
You retain all ownership rights in your QuickBooks data and any other content you provide to the Services. We claim no ownership over your business data. Our Privacy Policy describes how we handle data retrieved through the Services in more detail — see Privacy Policy.
The Services interoperate with Intuit's platform and other third-party infrastructure providers. Your use of Intuit's platform remains subject to Intuit's own terms and privacy policy. Repass Intelligence is not responsible for the availability, accuracy, or conduct of third-party services outside our control.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPASS INTELLIGENCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
We may suspend or terminate your access to the Services if you breach this Agreement, or upon termination of the underlying agreement between you and Repass Intelligence. Upon termination, your right to use the Services ceases immediately, and any authorization granted to the Application to access your Intuit account will be revoked.
This Agreement is governed by the laws of the State of North Carolina, USA, without regard to its conflict of law principles. Any dispute arising under this Agreement shall be resolved in the state or federal courts located in North Carolina.
We may update this Agreement from time to time. Material changes will be reflected by updating the effective date above. Continued use of the Services after changes take effect constitutes acceptance of the revised Agreement.
